Fleur Gibson is a Senior Associate in our corporate, mergers + acquisitions group in Sydney. Fleur has over five years experience in conducting due diligence investigations, drafting and negotiating transactional documents for company and business acquisitions, corporate structuring, advising on the Corporations Act 2001, corporate governance issues and regulatory compliance.

Fleur has been involved in medium and large scale share and business acquisitions, purchaser and vendor due diligence, company restructures, capital reductions and advising on and drafting documentation for employee share option and purchase plans.

Fleur has also been involved in advising clients on directors duties and corporate secretarial matters.

Fleur's recent experience includes:

• due diligence investigation and preparation of a due diligence report for the acquisition of a major retail company


• drafting and negotiation of transactional documentation for major share and business acquisitions


• drafting documentation for a restructure of the Boeing Group of companies in Australia


• coordination of a reorganisation of the Orica group of companies which involved drafting Australian legal documentation and coordinating preparation and execution of legal documentation in the United Kingdom, United States of America, the Netherlands and Venezuela


• drafting a continuous disclosure policy for a company that has recently listed on the National Stock Exchange of Australia


• establishment and co-ordination of a data room for a major vendor due diligence


• audit, update and maintenance of company secretarial records for a large group of property development companies
